ARTICLE I. Definition
The name of this organization shall be HURST UNITED SOCCER ASSOCIATION, INC. hereafter referred to as the Association or HUSA. It is a non-profit Association.

ARTICLE II. Purpose
The purpose of this Association is to promote the highest ideals of sportsmanship and fellowship by providing fun, recreation and competition by voluntary participation. This Association will do its best to develop skills and fair play. The secondary importance is the winning of the game.
ARTICLE III. Membership
a. This membership represents recreational youth soccer activities within the City of Hurst.
b. All properly registered youth shall pay such registration fees as are established by the Board of Directors (unless waived by the Board) and shall complete a registration form. Players must abide by the rules and decisions of this Association. If this Association does not provide competition in a give age group, the youth in that age group shall be released without fee to play soccer elsewhere.
c. No funds raised for the youth will be used for adult teams.
d.The Association is affiliated with the North Texas State Soccer Association (NTSSA) with ultimate affiliation with the United States Soccer Federation (USSF).
e. The members of this Association shall be Board members, referees, coaches, and parents or legal guardians of those children participating in an Association program.
f. All members of HUSA must adhere to the NTSSA Policy Statement for Qualification of Volunteer/Staff with Criminal Backgrounds.

ARTICLE IV. Administration
a. The Association will be governed and administered by a Board of Directors, hereafter known as the Board.
b. The registered Head Coaches, registered Assistant Coaches, Team Representatives, and/or Designated Team Appointees shall elect the Board of Directors. Each registered team shall be entitled to have two delegates at the general meeting. If a team desires to send a Designated Team Appointee in place of the Head Coach, Assistant Coach and/or Team Representative, such request must be submitted in writing by the Head Coach to the Board Secretary prior to convening the general meeting. A Designated Team Appointee must have a child registered on the team they represent. No delegate shall cast more than one vote. No delegate shall represent more than one team.
c. No more than two voting family members may serve on the Board at a time. No individual may hold more than one office on the Board at the same time. No more than three individuals from the same team may serve on the Board at the same time.
d. The Board of Directors shall be elected at the Annual General Meeting (AGM) of the Association held in February except for the Director of Officials. The newly elected officers will take office at the first Board Meeting in March. Any officer that desires to seek election to another office must first resign in the office he is holding prior to the next election and their resignation will be effective March 1st.
e. In the event any position on the Board of Directors becomes vacant, except for the President’s position, before the end of the position’s term, that position shall be filled as follows:
1. The Board shall select and approve a replacement from all interested applicants and/or nominees within forty-five days after the position is declared vacant to serve until the next scheduled election.

f. Each Board of Director present shall cast one vote at each Board meeting except for Commissioners. The Directors of Commissioners I & II will be voting members of the Board. The President shall vote only in the cases of a tie.
g. Regular meetings of the Board will generally be held on the first Thursday of each month. Majority of the voting Board members shall constitute a quorum for transacting business, providing one of those present is the President or Vice President A&D. The President may call an emergency meeting of the Board.

ARTICLE V. Constitution Changes
The Constitution may be amended at the AGM of the Association in February, provided that notice of the proposed amendments shall be given at the November Board Meeting. Any proposed amendments to this Constitution must be submitted to the Association in writing and posted on the website no later than fifteen days before voting. Thirty-five percent of the total voting delegates must be present for a quorum. Two-third of those voting delegates in attendance at an AGM must approve any proposed changes for such change to become part of the Constitution.
ARTICLE VI. Dissolution
In the event of the dissolution of this Association, all of the assets, after payment in full of all its debts and obligations of whatsoever kind and nature, shall be donated to the Hurst Parks and Recreation Department.
ARTICLE VII. Indemnification of Officers and Directions
Each Officer and Director of the Association, in consideration of his service and such, shall be indemnified by the Association to the extent permitted by law against expenses and liabilities reasonably incurred by him in connection with the defense of any action, suit, or proceeding, civil or criminal, to which he may be a party by reason of being or having been Director or Officer of the Association. The foregoing rights of indemnification shall not be exclusive of any other rights to which the director or Officer or person may be entitled by law or agreement or vote of the members or otherwise.
